CANCELLATION POLICY:
Sponsorship cancellation fee will be charged in the amount of $650 if canceled after signing this agreement

SPONSOR RULES AND REGULATIONS
1. Maintaining Exhibits: All exhibitors and sponsors are required to keep their displays up and open through the closing of the event or their
exhibiting rights may be lost for future events.
2. Restrictions on Use of Space: No exhibitor/sponsor shall sublet, assign or share any part of the space allocated without the written consent of the
Exhibit Management. Solicitations or demonstrations by exhibitors must be confined within their contracted space or space otherwise purchased
through Keuilian Inc.
3. Fire and Safety Regulations: All local regulations will be strictly enforced and the exhibitor assumes all responsibility for compliance with such
regulations. All decorations and equipment must be fireproof and must meet the safety requirements of the official service contractor. No
combustible materials shall be stored in or around the exhibit booths.
SPACE INFORMATION
4. Payments for Space: Registration for display/sponsorship purchases must be accompanied by a nonrefundable 50% deposit before a display
assignment will be made. Additionally, a signed copy of the show contract acknowledging these Rules & Regulations must be on file. In addition,
all outstanding balances, including but not limited to those due for advertising and sponsorships, must be paid in full prior to setting up for the
event.
5. Failure to Occupy Space: Space not occupied by the close of the exhibit installation period as specified in the exhibit hours will be forfeited by the
exhibitor/sponsor, and this space may be resold, reassigned or used by the Event Management.
6. Cancellation of Show: In the event of fire, strikes or other uncontrollable circumstances rendering the exhibit area unfit, unavailable for use or
causing the exhibition to be canceled prior to the opening date of the event, this contract will not be binding and payments toward exhibit rental
will be refunded.
7. Photography: No photographing and/or videotaping will be permitted without authorization of Keuilian Inc.
LIABILITY AND INSURANCE
8. Security: The Exhibit Management will provide security continually from the setup through the breakdown of the exhibit area. The furnishing of
such service shall not be construed to be any assumption of obligation or duty with respect to the protection of the property of exhibitors, which
shall at all times remain in the sole possession and custody of each exhibitor and shall be the sole responsibility of each exhibitor/sponsor.
9. Exhibitor’s Responsibilities: Insurance liability is the full and sole responsibility of the exhibitor. The exhibitor agrees to protect, save and defend,
and keep Keuilian, Inc. and agents forever harmless from any damages or charges imposed for violation of any law or ordinance occasioned by
the negligence of the exhibitor or those holding under the exhibitor/sponsor, as well as to comply strictly with the applicable terms under the
exhibit facility regarding the exhibition premises. Furthermore, the exhibitor shall at all times protect, indemnify, defend and keep Keuilian, Inc.
and its agents and partners harmless against and from any and all loss, costs, damage, liability or expense from, out of or other occurrence to
anyone including the exhibitor/sponsor, its agency, employees and business invitees that arises from or out of by reason of the said exhibitor’s
occupancy and use of the exhibit premises or part thereof..
10. Exhibitor Disputes: If any exhibitor/sponsor has any legal or other disputes with another person or entity, that exhibitor is responsible for making
sure that the dispute in question will not affect the event, Keuilian, Inc or its management of the event in any way. Keuilian, Inc. will have no duty
to take or refrain from taking action of any kind with regard to any such dispute. All exhibitors/sponsors expressly agree to indemnify Keuilian, Inc.
for any costs, including attorney fees, which it might incur if this agreement is violated.
Sponsor agrees to abide by the payment terms and the Sponsor Rules and Regulations, which are made a part of this contract by reference and are
fully incorporated herein. The undersigned is empowered to enter into the contract on behalf of their company.

This is not a binding contract unit
payment is received by Keuilian Health & Fitness.
